These Terms of Service ("Terms") govern your access to and use of the websites, web and mobile applications, browser extensions, APIs, SDKs, and related services operated by Hooh Inc.("Hooh," "we," "us," or "our"), a Delaware corporation, that help you store, process, search, and understand documents using AI capabilities (collectively, the "Services"). hooh pro (hooh.pro, app.hooh.pro) is a product of Hooh Inc.

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility and Accounts

1.1 Eligibility

You must be at least 16 years old and have reached the digital age of consent in your jurisdiction. Your use of the Services must comply with these Terms and all applicable laws.

1.2 Registration and Security

You must provide accurate information when creating an account. You are responsible for maintaining the security of your login credentials, reporting any unauthorized access immediately, and for all activity under your account.

1.3 Organization Accounts

If your account is part of an organization, administrators may have authority to access, review, restrict, or remove information within the account.

1.4 Third-Party Integrations

You may connect external services (e.g., cloud storage, email). By doing so, you authorize Hooh to access and use information from those services to deliver the Services.

2. Your Content and Permissions

2.1 Ownership

You retain all ownership rights to documents, text, images, audio, video, and other materials you upload ("User Content"). Hooh claims no ownership beyond the limited license described below.

2.2 License Grant

You grant Hooh a worldwide, non-exclusive, royalty-free license to store, process, analyze, and display your User Content solely for the purpose of operating, securing, and improving the Services. Backup copies may be retained beyond active deletion for reasonable periods.

2.3 No Model Training

Hooh may use anonymized or aggregated data to enhance the Services. However, we will not train AI models using your identifiable User Content or Outputs without your explicit opt-in or a separate written agreement.

2.4 Your Responsibilities

You must ensure you have all necessary rights and permissions to submit your content and that all submissions are accurate, lawful, and appropriate.

2.5 Sensitive Data

You may upload documents containing sensitive information. However, you should not upload content you would not want exposed if a security incident occurred. Sensitive data includes government IDs, financial account details, precise location data, authentication credentials, and health or biometric information. By uploading such content, you consent to its processing solely for service delivery and improvement.

2.6 Deletion and Retention

You may delete content from active systems at any time. Residual copies may persist in backup systems for limited periods consistent with our retention policies.

3. AI Outputs

3.1 Nature of Outputs

The Services generate automated summaries, extractions, classifications, form fills, chat responses, and similar content ("Outputs"). Outputs may contain inaccuracies or incomplete information.

3.2 Rights to Outputs

Hooh assigns its rights in generated Outputs to you for personal or internal business use. This does not transfer underlying model ownership or broader service rights.

3.3 Similarity Notice

Due to the nature of AI, different users may receive similar Outputs. You should not treat Outputs as confidential or exclusive.

3.4 No Professional Advice

Outputs do not constitute legal, medical, financial, or professional advice. You bear full responsibility for evaluating Outputs and making decisions based on them.

3.5 Medical Disclaimer

The Services assist with organizing medical documents but do not provide medical advice, diagnosis, or treatment. Outputs may be outdated or incorrect. You must verify information with qualified healthcare providers. Hooh is not a HIPAA-covered entity or business associate. Do not use the Services for activities requiring HIPAA compliance unless a separate written arrangement exists.

4. Acceptable Use

You agree not to:

  • Violate any laws, contracts, or intellectual property rights
  • Upload illegal, infringing, deceptive, defamatory, or harassing content
  • Attempt to re-identify anonymized individuals or infer protected characteristics unlawfully
  • Reverse-engineer models or extract source code or datasets
  • Falsely present AI outputs as human-reviewed professional advice
  • Use Services for developing weapons, unlawful surveillance, or high-risk AI applications
  • Disrupt Services, bypass rate limits, or abuse APIs
  • Harvest data through scraping or bots beyond permitted use
  • Upload malware or conduct unauthorized security testing

Violations may result in immediate suspension or termination.

5. Third-Party Services and Beta Features

The Services may integrate with external products and services. Hooh is not responsible for third-party offerings, which are governed by their own terms and privacy policies.

Features marked as alpha, beta, or preview are provided for evaluation only. They may change or be discontinued, carry no guarantees, and may have additional terms.

6. Plans, Fees, and Payment

6.1 Plans

Hooh offers free, paid, usage-based, and enterprise subscription options with varying features and limits.

6.2 Billing and Auto-Renewal

You authorize Hooh and its payment processors to charge your payment method for applicable fees. Subscriptions automatically renew unless cancelled before the renewal date.

6.3 Free Trials

Free trials may require valid payment information and automatically convert to paid subscriptions unless cancelled before expiration. Trial eligibility and duration vary. Hooh may limit trials per user and terminate trials if abuse is detected.

6.4 Price Changes

Hooh may adjust prices with reasonable advance notice. New pricing applies at the next renewal term.

6.5 Taxes

Quoted fees exclude taxes and duties. You are responsible for all applicable taxes except Hooh's income taxes.

6.6 Refunds

Fees are non-refundable except where required by law or stated otherwise in a separate agreement.

6.7 Late Payments

Overdue amounts accrue interest at the lesser of 1.5% monthly or the maximum legal rate, plus reasonable collection costs.

6.8 Cancellation

You may cancel subscriptions at any time through account settings. Cancellations take effect at the end of the current billing period with no prorated refunds unless required by law.

6.9 Fair Use Policy

"Unlimited" plans are subject to Fair Use limitations. For hooh pro, Fair Use means up to 100 document uploads per month per subscription account. Fair Use limits may change with reasonable notice, and overages may trigger usage throttling, temporary suspension, or upgrade requests.

7. Intellectual Property; Feedback

Hooh and its licensors retain exclusive ownership of all Services components, including software, AI models, algorithms, templates, interfaces, designs, and documentation. No rights transfer except as explicitly stated in these Terms.

Hooh grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services during your subscription term.

Any feedback or suggestions you provide grant Hooh a perpetual, worldwide, transferable, sublicensable, irrevocable, royalty-free license to use that feedback for any purpose.

8. Security and Data Protection

Hooh implements technical and organizational safeguards to protect User Content. However, no system provides perfect security, and you acknowledge breach risks. Our Privacy Policy describes data collection and use. Data may be processed in the United States and other countries using appropriate legal safeguards. We will notify you of personal data breaches as required by law.

9. Copyright; DMCA

If you believe your copyrighted work has been infringed, send a notice compliant with 17 U.S.C. §512(c)(3) to:

Hooh may remove flagged content and terminate repeat infringers.

10. Modifications to Services and Terms

Hooh may modify or discontinue Services with reasonable advance notice when feasible. We may update these Terms periodically. Material changes will be communicated via email or in-product notification. Changes take effect at the next renewal or upon continued use. If you disagree with changes, you must stop using the Services.

11. Suspension and Termination

Hooh may immediately suspend or terminate your access if you breach these Terms, create security or legal risks, violate applicable law, or fail to pay fees. You may terminate your account at any time through account settings. Upon termination, your access ends and User Content is deleted or de-identified from active systems within reasonable periods per our data retention policies.

12. Disclaimers

The Services and Outputs are provided "as is" and "as available." Hooh disclaims all warranties, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Hooh does not warrant that the Services will be uninterrupted, error-free, secure, or that Outputs will be accurate.

13. Limitation of Liability

To the maximum extent permitted by law, Hooh will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Hooh's total liability will not exceed the greater of (I) amounts you paid to Hooh in the 12 months preceding the claim, or (II) US $100.

14. Consumer Rights

Consumer protection laws may provide mandatory rights regarding digital services, warranties, or withdrawal periods that cannot be limited by these Terms. Statutory cooling-off periods for digital service purchases are honored as required by applicable law.

15. Indemnification

You agree to defend and hold harmless Hooh, its affiliates, and their officers, directors, employees, and agents from any claims, liabilities, damages, and expenses (including attorney fees) arising from your User Content, use of the Services, violation of these Terms, violation of any law, or infringement of third-party rights.

16. Governing Law; Venue

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. Except where prohibited by law, you consent to the exclusive jurisdiction and venue of the state and federal courts located in New Castle County, Delaware for all disputes arising from these Terms or the Services.

17. Miscellaneous

  • Assignment: You may not assign these Terms without written consent. Hooh may assign in connection with mergers, acquisitions, reorganizations, or asset sales.
  • Severability: If any provision is found invalid, the remaining provisions continue in full effect.
  • No Waiver: Failure to enforce any provision does not waive future enforcement rights.
  • Force Majeure: Hooh is not liable for delays caused by events beyond its reasonable control.
  • Entire Agreement: These Terms and referenced policies constitute the complete agreement regarding the Services.
  • Survival: Provisions intended to survive termination do so, including content licensing (for backups), intellectual property, disclaimers, limitation of liability, indemnification, and all accrued payment obligations.
